Steven Balet is a Managing Director at FTI Consulting, and is based in New York.

Mr. Balet serves as an Activism expert in the Strategic Communications segment and is also part of the segment’s Financial Communications practice.

For nearly 20 years, Mr. Balet has advised public companies and hedge funds of all sizes on contested proxy campaigns; corporate-governance issues; and mergers and acquisitions (M&As). His expertise includes providing strategic advice in corporate proxy-defense strategy; cross-border and global proxy solicitations; dissident investor campaigns; hostile and friendly M&A transactions; and proxy fights.

He has extensive experience working with issuers to develop the most effective messaging for delivering the vote; and routinely counsels clients on how to engage third-party advisory groups, such as Institutional Shareholder Services (ISS). Leveraging best-in-class analysis on various activist stockholders and their techniques, Mr. Balet drives messaging, strategic planning and influencer engagement to insulate his clients from proxy threats in and outside of proxy season.

Mr. Balet has been involved in some of the largest contested situations in the past decade, including Oracle in its hostile acquisition of PeopleSoft; Rio Tinto in its defense of a BHP Billiton hostile tender; Sanofi-Synthelabo (now Sanofi-Aventis) in its acquisition of Aventis, Transocean in its defense against Carl Icahn, and Allergan in its defense against Pershing Square.

Prior to joining FTI Consulting, Mr. Balet’s spent 15 years at the proxy and corporate-governance consulting firm, MacKenzie Partners, including three years as head of its London office. As an established authority on corporate governance, proxy fights and shareholder activism, he also regularly serves as an expert panelist; and has been quoted by respected publications in the United States as well as many publications in Europe and Asia.

Mr. Balet holds a bachelor’s degree from the University at Albany (SUNY Albany), and a law degree from the University of Buffalo (SUNY Buffalo) Law School.
